The short version
- Every job starts with a written proposal: what I will do, the price and the date. These terms sit underneath it.
- Prices are fixed. Anything outside the agreed scope is quoted in writing before I do it.
- You own your website, your content and your data. For bespoke software, I own the software and you get a permanent licence to use it.
- If we part ways, you get your data and what you have paid for.
1. About these terms
EdgerTech is the trading name of Timothy Edgerton, a sole trader based in Winchester, Hampshire. In these terms "I", "me" and "EdgerTech" mean the business, and "you" means the business I am working for.
Our agreement is made up of the written proposal or scope you accept and these terms. If the two ever disagree, the proposal wins. If I update these terms, the version that applied when you accepted your proposal still applies to that work.
2. Who these terms are for
My services are for businesses and organisations. If you are buying as a private individual, you have legal rights as a consumer, including in most cases 14 days to cancel, and nothing in these terms takes those rights away.
3. Quotes and starting work
A quote or proposal stays open for 30 days. Work starts once you have accepted it in writing, by email is fine, and paid the first invoice.
4. Prices and payment
- Prices are fixed as stated in the proposal. "From" prices on my website are a starting point; your proposal gives the actual figure.
- Invoices are due within 14 days unless the proposal says otherwise.
- Monthly plans are billed monthly in advance.
- Third-party costs, such as domain names, email accounts, paid software or payment provider fees, are either paid by you directly or passed on at cost. I agree these with you before they are incurred.
- If EdgerTech becomes registered for VAT, VAT will be added to future invoices at the standard rate, and I will tell you in advance.
If an invoice is late, I may charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998. If an invoice is more than 14 days overdue, I may pause work or a monthly service after giving you 7 days' written notice.
5. Your part
Good work depends on both of us. You agree to:
- name one person who can answer questions and approve work;
- provide content, information, logins and approvals when agreed, and reply to questions within 5 working days;
- make sure anything you give me, such as text, photos, logos or customer data, is accurate and that you have the right to use it.
If something I need arrives late, the launch date moves by at least the same amount. If a project is paused by your side for more than 60 days, I may invoice for the work done so far and agree a new start date with you.
6. Changes to the scope
If you want something that is not in the agreed scope, I will reply in writing with what it involves, the extra cost and any effect on the launch date. I start that work only once you agree in writing. Small requests can often wait for a care plan's monthly hours instead.
7. Testing and launch
Before launch you get time to test, normally 10 working days. I fix anything that does not work as the scope describes. The work is accepted when you confirm it in writing, or when you start using it for real, whichever comes first.
8. Fixing faults
If something I built does not work as agreed, I will fix it at no charge if you report it within 30 days of launch. After that, faults in bespoke software are covered by the care plan, and faults in a website by website care.
This does not cover problems caused by changes made by someone else, by third-party services, or by your browser or devices, and it does not cover new features.
9. Who owns what
Websites
Once the website is paid for in full, you own the domain, the words, the photos and the finished site, and you can take all of it with you if you move on.
Bespoke software
You own your data, always, and can have a copy whenever you ask. EdgerTech owns the software. Once the build is paid for in full, you get a permanent licence to use it for your own business. You may not resell it, copy it for another business, or license it to anyone else.
If you ever move on, or I stop trading, you get a full export of your data and a copy of your system's code to run elsewhere under the same licence.
Everything else
- Content you give me stays yours. You allow me to use it only to do the work.
- I build with my own tried and tested components. I keep the right to reuse my general tools, code and know-how, but never your content, your data or anything confidential to you.
- Third-party items, such as fonts, stock photos or plugins, stay under their own licences.
10. Third-party services
Most websites and systems rely on other companies, such as hosting providers, domain registrars, email providers and payment providers. Where I can, I set these up in your name so you keep control of them. Their own terms apply, and I am not responsible for their outages, price changes or decisions. If one causes a problem, I will help you deal with it.
11. Data protection
Each of us is responsible for our own compliance with UK data protection law. My privacy policy explains how I handle personal data about you.
When I build, host or support a system that holds personal data about your customers, staff or members, you are the controller and I am your processor. In that case I will:
- handle that data only on your written instructions, to build, host and support your system, for as long as our agreement lasts;
- keep it confidential and secure;
- use other companies to process it, such as hosting providers, only where needed. By accepting these terms you approve the providers named in your proposal; I will tell you before adding or changing one so you can object, and I remain responsible for them;
- help you respond when people ask to see, correct or delete their data, and with security, breach reports and risk assessments;
- tell you without undue delay if I become aware of a data breach affecting your data;
- when our agreement ends, return or delete the data, as you choose, unless the law requires me to keep it;
- give you the information you need to show that these rules are being followed, and allow reasonable checks.
The proposal for each build records the types of personal data involved and the people it is about.
12. Confidentiality
I keep your business information private and use it only to do the work. You do the same with anything I share with you about my methods and prices that is not public. This continues after our agreement ends.
13. Showing your work
I will not name you, quote you or show screenshots of your work in public without your permission. You can withdraw permission at any time.
14. Tools I use
I use modern development tools, including AI-assisted tools, to build faster. Every system is designed, checked and tested by me before it reaches you. I do not put your customers' personal data into AI tools.
15. Liability
- Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law does not allow to be limited.
- I am not liable for loss of profit, revenue, business or goodwill, or for indirect or consequential loss.
- Otherwise, my total liability under an agreement is limited to the fees you have paid me under it in the 12 months before the claim arose.
- You are responsible for keeping your own copies of important content and records. My care plans include backups, but they are not a replacement for your own records.
16. Ending an agreement
- Monthly plans: after any minimum term, either of us can end a plan with 30 days' written notice. If you end it during a minimum term, the remaining months of that term are still due.
- Projects: you can stop a website or build at any time by telling me in writing. You pay for the work done up to that point, including the payment stage in progress, and you keep what you have paid for.
- Either of us can end an agreement straight away if the other seriously breaks it and does not put it right within 14 days of being asked in writing, or becomes insolvent.
When an agreement ends, I hand over what you are entitled to, including a full export of your data, within 30 days. I delete my copies of your data 60 days after the agreement ends, unless the law requires me to keep them.
17. Things outside anyone's control
Neither of us is responsible for delays caused by events we cannot reasonably control, such as serious illness, extreme weather or a major outage at a provider. If such an event stops work for more than 60 days, either of us can end the affected agreement by written notice.
18. If something goes wrong
Tell me first, at enquiries@edgertech.co.uk. Most problems can be put right with a conversation, and I would rather hear about one early.
19. General
- Neither of us can transfer an agreement to someone else without the other's written consent, which will not be unreasonably refused.
- If part of these terms is found to be unenforceable, the rest still applies.
- Not enforcing a term straight away does not mean giving up the right to enforce it later.
- These terms are governed by the law of England and Wales, and the courts of England and Wales deal with any dispute.
Service terms
These add to the general terms above for each service.
Digital audit
- £495, fixed, paid before the audit starts.
- Includes a written review of your website, search visibility, compliance gaps and where software would save you time, followed by a one-hour call.
- Delivered within one week of payment and of receiving your answers to my questions.
- If you go ahead with a bespoke build within 60 days of the report, the £495 comes off the build price.
- Compliance observations are practical pointers, not legal advice.
Website
- From £1,950, fixed. The pages, price and launch date are agreed in writing before work starts.
- Up to five pages, planned and written with you, built to work properly on a phone, with Google Search Console and your Google Business Profile set up and linked, and your domain, hosting and email moved across.
- Paid in two stages: half on accepting the proposal, half before launch.
- Live in 3 to 4 weeks from agreed content.
- Text and photo changes after launch are made by me under website care. If you want to edit pages yourself, say so at the start and I will build on a system that allows it.
Website care
- £49 a month, for websites I have built.
- Includes hosting, security updates and backups, with up to 30 minutes of small text and photo changes a month. Unused time does not roll over.
- Domain renewals are handled for you and charged at cost.
- 12-month minimum term, then month to month.
Bespoke build
- From £6,000, fixed. The written scope lists every feature, what is not included, the price and the dates.
- Paid in three equal stages: the first on signing, the second at the midpoint review, and the last before launch.
- You see a working preview every week. Typical time from signed scope to launch is 10 to 12 weeks.
- Every build includes the care plan, with a 12-month minimum term starting at launch.
Care plan
- £199 a month.
- Includes hosting, monitoring, backups and security updates, and two hours of changes a month. Unused hours do not roll over.
- Requests beyond two hours are quoted separately in writing.
- Fault reports are dealt with as soon as reasonably possible, with faults that stop the system working put first.
- 12-month minimum term from launch, then month to month.
Local visibility
- £199 a month.
- Includes keeping your Google Business Profile up to date, one local search improvement to your website each month, review requests sent to recent customers, and a one-page monthly report.
- 3-month minimum term, then month to month.
- No one can guarantee a position in Google or any other search engine, and I do not. The work improves your chances; search engines decide the results.
- You stay the owner of your Google Business Profile. I only need manager access.
Other work
Anything else, such as training, consultancy, connecting systems together or one-off fixes, is quoted in writing, and these general terms apply. EdgerTech products sold by subscription may have their own terms; where they do, those apply instead.
